What is a dormant company?
A company is dormant for Companies House purposes if it has had no significant accounting transactions during the financial year. That means no sales, no purchases, no bank charges, no interest received — nothing on the books other than the basic cost of keeping the company registered. Being “dormant for Companies House” and “dormant for HMRC” are two different things with two different filing obligations. This page covers the Companies House side. Do you need to file with Companies House?
Yes — almost always. Every UK limited company must file annual accounts with Companies House, regardless of whether it traded. Dormant companies just get to file a simpler, shorter version. What happens if you don't:

Yes. Every registered UK limited company files annual accounts, even one with literally zero activity. The dormant accounts template is specifically designed for exactly this case.
Can I file late?
You can, but penalties start accruing the day after the deadline. If you're already late, file as soon as possible to stop penalties from compounding.
Do I need to file a confirmation statement too?
Yes — but that's a separate Companies House filing (not covered by this product). Dormant accounts handle the accounts obligation; the confirmation statement (CS01) handles the company-details-up-to-date obligation.
